Trian Fund Offers to Take Wendy’s Private in $1.4 Billion Deal

Nelson Peltz’s Trian Fund Management has offered to acquire Wendy’s and take the US burger chain private in a deal valuing the company at approximately $1.4 billion, according to a regulatory filing on Wednesday. Trian, which holds a 16.3% stake in Wendy’s along with related parties, is leading a consortium offering $7.35 per share in cash. Following the announcement, Wendy’s shares rose around 16% to $7.12 in premarket trading, while the offer represented a premium of roughly 20% over Tuesday’s closing price.

The acquisition proposal also involves restaurant operator Flynn Group and investment firms BlueFive Capital and Sixth Street Partners. Flynn operates more than 340 Wendy’s restaurants in the United States and serves as the chain’s master franchisee in Australia and New Zealand. Trian described Wendy’s as being at a critical juncture, citing economic uncertainty, persistent commodity inflation, pressure on US consumers and intensifying competition in the fast-food burger market. The investment firm also highlighted the need for significant capital investment to reduce debt and implement strategic initiatives to improve the chain’s performance. Wendy’s had not responded to Reuters’ request for comment at the time of reporting.

Peltz has pursued opportunities involving Wendy’s for several years, first expressing interest in a potential takeover in 2022. Earlier in 2026, reports indicated that Trian and a consortium of investors were preparing a proposal to take the company private. However, Reuters reported in August that Trian had no immediate plans to make an offer, citing concerns about Wendy’s share price, valuation and strategic direction. In February, Peltz said he believed the stock was undervalued and that his firm had discussed potential financing sources for transactions, including an acquisition. The latest proposal marks another significant development in the ongoing consolidation of the struggling US restaurant industry.
